Terms of Service

All Set provides a business operating platform powered by GoHighLevel technology, offering CRM, marketing automation, SMS and email marketing, appointment scheduling, funnel building, reputation management, AI-powered lead qualification, and related business tools (collectively, the "Services"). The Platform is provided on a subscription basis, and your access is contingent on maintaining an active subscription and compliance with these Terms.

All Set operates as a white-label reseller of GoHighLevel. By using the Platform, you also agree to comply with GoHighLevel's terms of service and acceptable use policies, which are incorporated herein by reference. In the event of a conflict between these Terms and GoHighLevel's terms, these Terms shall govern your relationship with All Set.

All Set reserves the right to modify, suspend, or discontinue any feature or aspect of the Services at any time with reasonable notice. Material changes to the Services that adversely affect your use will be communicated at least 30 days in advance.

To access the Platform, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify All Set immediately at [email protected] of any unauthorized use of your account or any other security breach.

You must be at least 18 years of age and have the legal authority to enter into binding contracts to create an account. If you are creating an account on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms.

All Set reserves the right to suspend or terminate accounts that provide false or misleading information, violate these Terms, or engage in activity that poses a risk to the Platform, other users, or third parties.

The Platform is offered on a monthly or annual subscription basis. Subscription fees are billed in advance on a recurring basis. By providing a payment method, you authorize All Set to charge the applicable subscription fees to your payment method on each billing date until you cancel your subscription.

All fees are stated in U.S. dollars and are exclusive of applicable taxes. You are responsible for all taxes associated with your subscription. All Set uses Stripe as its payment processor; by subscribing, you also agree to Stripe's terms of service.

Subscription fees are non-refundable except as expressly provided in our Refund Policy. All Set reserves the right to modify subscription pricing with at least 30 days' written notice. Your continued use of the Platform after a price change takes effect constitutes your acceptance of the new pricing.

If your payment fails, All Set will attempt to re-process the payment. If payment remains outstanding after 7 days, your account may be suspended. Accounts suspended for non-payment will be terminated after 30 days, and your data will be subject to the data retention policy described in Section 9.

You agree to use the Platform only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy, which is incorporated herein by reference. You are solely responsible for all content, data, and communications transmitted through the Platform under your account.

You agree that you will not use the Platform to: (a) send unsolicited commercial messages (spam) or violate the CAN-SPAM Act, TCPA, or any other applicable anti-spam or communications law; (b) send SMS messages to contacts who have not provided express written consent; (c) use purchased, rented, or scraped contact lists for SMS or email marketing; (d) engage in deceptive, fraudulent, or misleading marketing practices; (e) violate any applicable law or regulation; (f) infringe the intellectual property rights of any third party; (g) transmit malware, viruses, or other harmful code; or (h) interfere with or disrupt the integrity or performance of the Platform.

Violations of this section may result in immediate suspension or termination of your account without refund. All Set reserves the right to investigate suspected violations and to cooperate with law enforcement authorities.

All Set retains all rights, title, and interest in and to the Platform, including all proprietary templates, workflows, training materials, AI configurations, automation sequences, and platform customizations (collectively, "Platform IP"). Nothing in these Terms grants you any ownership interest in Platform IP. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform IP solely for your internal business purposes during the term of your subscription.

You retain all rights to your business data, including contacts, conversation records, custom content created by you, and brand assets you upload to the Platform (collectively, "Client Data"). You grant All Set a limited license to access and process Client Data solely to provide the Services. All Set will not sell, rent, or share Client Data with third parties except as necessary to provide the Services or as required by law.

Upon termination of your subscription, you may request export of Client Data within 30 days of termination. After 30 days, Client Data will be archived and accessible only upon written request. After 90 days, Client Data will be permanently deleted. Platform IP access is revoked immediately upon termination.

All Set's collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy.

You are responsible for ensuring that your use of the Platform complies with all applicable data protection laws, including but not limited to the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR) if applicable, and any other privacy laws applicable to your business and your customers. You represent and warrant that you have obtained all necessary consents from your contacts to collect, store, and process their personal information through the Platform.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ALL SET DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SET'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO ALL SET IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL ALL SET BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ALL SET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you in their entirety.

You agree to indemnify, defend, and hold harmless All Set and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property rights or privacy rights; or (e) any content or data you transmit through the Platform.

Upon cancellation of your subscription, your account will remain accessible for 30 days (the "Grace Period") to allow you to export your Client Data. During the Grace Period, your sub-account will be locked and no new campaigns or automations will run. You may request reactivation during this period.

After the Grace Period, your sub-account will be deactivated and your data archived for an additional 60 days. During this archive period, you may still request export of your Client Data by contacting [email protected]. After 90 days from cancellation, all Client Data will be permanently and irreversibly deleted.

All Set will notify you by email at the 30-day and 60-day marks following cancellation. It is your responsibility to ensure your email address on file is current and that you retrieve any data you wish to retain before the 90-day deletion date.

Either party may terminate these Terms at any time. You may cancel your subscription at any time through your account portal. All Set may terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or pose a risk to the Platform or other users.

Upon termination, your right to access the Platform ceases immediately. Sections 5 (Intellectual Property), 6 (Privacy), 7 (Disclaimers), 8 (Indemnification), 10 (Termination), 11 (Governing Law), and 12 (General) survive termination of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or the Platform shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

YOU AND ALL SET AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitration shall be conducted in Dallas, Texas, and the arbitrator's decision shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

Entire Agreement. These Terms, together with the Privacy Policy, Refund Policy, and Acceptable Use Policy, constitute the entire agreement between you and All Set regarding the Platform and supersede all prior agreements and understandings.

Amendments. All Set may update these Terms from time to time. Material changes will be communicated by email or prominent notice on the Platform at least 30 days before taking effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. All Set's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.
